End User License Agreement

1. License grant

Subject to payment (where applicable) and compliance with this Agreement, you are granted a non-exclusive, non-transferable license to install and use ProbeScope according to the limits of your licensing tier (Free, Pro, Team, or Enterprise) as described on the Pricing page.

2. Seats and organization eligibility

The Free tier is licensed for personal, non-commercial use only. Commercial use requires at least a Pro license, as described on the Pricing page.

Pro licenses are personal licenses, purchased and held by an individual rather than a legal entity or organization. They may be used for commercial purposes by that individual (for example, freelance or consulting work), subject to the seat and organizational limits below.

Pro licenses cover up to 3 seats and Team licenses cover up to 20 seats. A "seat" is one individual authorized to run ProbeScope under that license key. Enterprise licenses are unlimited within the licensed organization.

Organizations with 1,000 or more employees, or annual revenue exceeding EUR 10 million, must license ProbeScope under the Enterprise tier, regardless of the number of hosts, plugins, or seats actually in use. Licensing a lower tier does not satisfy this requirement.

A single organization may not purchase or operate multiple Pro or Team licenses in combination to cover usage that exceeds the limits of one such license. Organizations whose combined monitoring needs exceed a single Pro or Team license must license Team or Enterprise accordingly.

3. Restrictions

You may not sublicense, resell, reverse engineer, or redistribute ProbeScope binaries outside the scope of your license tier. You may not circumvent license-tier limits (host counts, plugin counts, monitoring intervals, seat counts, or runtime limits), including by combining multiple licenses as described in Section 2.

4. Updates

Pro licenses include minor updates within the purchased major version. Team and Enterprise subscriptions include all updates released during an active subscription period.

5. Termination

This license terminates automatically if you breach its terms. Upon termination you must cease using ProbeScope and delete all copies.

7. Governing Law and Jurisdiction

This Agreement is governed by the laws of Switzerland, excluding its conflict of laws rules. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Zurich, Switzerland, unless mandatory law provides otherwise.
